Domain names registered by Solution21, Inc. for its clients are legal property of Solution21, Inc. and are leased temporarily to clients. (DBA Web Concepts Media) by email, you automatically grant–or warrant–that the owner of such content or intellectual property has expressly granted Solution21, Inc. (DBA Web Concepts Media) a royalty-free, perpetual, irrevocable, world-wide nonexclusive license to use, reproduce, create derivative works from, modify, publish, edit, translate, distribute, perform, and display the communication or content in any media or medium, or any form, format, or forum now known or hereafter developed. If you wish to keep any business information, ideas, concepts or inventions private or proprietary, do not submit them to the Public Areas or to Solution21, Inc. (DBA Web Concepts Media) by email. We try to answer every email in a timely manner, but are not always able to do so.

6- BILLING & PAYMENT

Nonpayment of any portion of your Solution21 bill may result in interruption or pausing of any and all services, including Web Hosting Service. As the result of pausing the Web Hosting service, your website will not be available and visitors will be forwarded to Solution21 website temporarily. The website will stay in-active till the payment is received in full.

You are liable for payment for all services rendered by Solution21 and billed to your account. It is your responsibility to make payment in a timely manner to ensure receipt by Solution21 on or prior to the due date. If you know that your payment will be late, call our Customer Service department so we can make arrangements to avoid service interruption and late fees.

7- DESIGN OWNERSHIP

Solution21, Inc. has full ownership of the designs of the client’s websites unless client has purchased design ownership as stated in the contract.

Material that has been provided by client such as images and personal content are client’s property and can be returned to client upon request.

8- RIGHT TO REFUSE SERVICE/CANCELLATION POLICY

Solution21, Inc. (DBA Web Concepts Media) reserves the right to refuse providing services to any of its clients at its sole discretion. Since the membership programs are monthly, a client whose service is being terminated will receive a one month notice via email. It is the responsibility of the client to find and secure new service for his/her website design/hosting and maintenance. A client has the right of cancelling his membership with one month written notice unless a separate agreement has been signed by the client. All fees are due before the receipt of such notice by mail/fax confirmed by Solution21, Inc. In both cases of service termination and cancellations, client understands that Solution21, Inc. has full ownership and copyright to all material on its websites. Material that has been added by client such as images and personal content can be moved to a new company and website at the client’s discretion. No material of original design content, images including domain names is permitted to be transferred unless with written permission from Solution21, Inc.

All cancellations require a 30 day written notice from your next bill date, to ensure you are not billed further.

9- PASSWORDS

Solution21, Inc. (DBA Web Concepts Media) has several tools that allow you to record and store information. For example, these areas are structured to allow access only to visitors with a valid password. You are responsible for taking all reasonable steps to ensure that no unauthorized person shall have access to your Solution21, Inc. (DBA Web Concepts Media) passwords or accounts.

It is your sole responsibility to (1) control the dissemination and use of activation codes and passwords; (2) authorize, monitor, and control access to and use of your Solution21, Inc. (DBA Web Concepts Media) in its sole discretion; Posting advertisements or solicitations of business; After receiving a warning, continuing to disrupt the normal flow of dialogue, or posting comments that are not related to the topic being discussed (unless it is clear the discussion is free-form); Posting chain letters or pyramid schemes; Impersonating another person; Distributing viruses or other harmful computer code; Harvesting or otherwise collecting information about others, including email addresses, without their identification for posting or viewing comments; consent; Allowing any other person or entity to use your identification for posting or viewing comments; Posting the same note more than once or “spamming”; or Engaging in any other conduct that restricts or inhibits any other person from using or enjoying the Public Area or the Site, or which, in the judgment of Solution21, Inc. One service of Solution21, Inc. (DBA Web Concepts Media) is updating and changing websites and its content on clients’ behalf. Also, Solution21, Inc. (DBA Web Concepts Media) offers access to a direct and live online editor that enables clients to update their websites with their material of choice. It is the responsibility of the client and/or its employees to make sure that the material submitted is original and/or the client does have permission to use it. Solution21, Inc. (DBA Web Concepts Media) does not accept any responsibility as to review of such material for copyright issues. If Solution21, Inc. (DBA Web Concepts Media) is informed by any third-party of copyright infringement and/or questionable material, Solution21, Inc. (DBA Web Concepts Media) reserves the right to remove the material in question from our server. It is the responsibility of the client to resolve such complaints, objections and/or any legal action brought resulting from the use of such material.

13- INDEMNITY.

You agree to defend, indemnify, and hold Solution21, Inc. (DBA Web Concepts Media), its officers, directors, employees, agents, licensors, and suppliers, harmless from and against any claims, actions or demands, liabilities and settlements including without limitation, reasonable legal and accounting fees, resulting from, or alleged to result from, your violation of these Terms and Conditions.
